Business Without Boundaries (BWB) & BWB Learn Platform.

1. Agreement to These Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“user”, “student”, “you”) and Business Without Boundaries (“BWB”, “we”, “us”) governing your access to and use of:

  • org and all its pages and services
  • businesswithoutboundaries.org — the BWB Learn Learning Management System
  • All associated digital services, course content, certificates, and community features

By accessing any of our platforms, creating an account, enrolling in any course or programme, or making any purchase, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use our platforms.

These Terms should be read alongside our Privacy Policy, which governs how we collect and use your personal data.

2. About Business Without Boundaries

Business Without Boundaries (BWB) is a pan-African business strategy, training, advisory, and executive coaching company. BWB operates:

  • BWB Learn (learn.businesswithoutboundaries.org) — a fully owned digital learning platform offering self-paced, virtual cohort, and in-person training programmes in business strategy, AfCFTA trade, executive leadership, and related disciplines
  • The African ChangeMakers Initiative (ACi) — a leadership and empowerment community for African changemakers, hosted on BWB Learn
  • BWB Business Coaching — one-to-one and group executive coaching services
  • BWB Consulting and Advisory — strategic advisory for African businesses and entrepreneurs

BWB was founded by Olutope Olatilewa E. (Lady Topsie), a Vital Voices Fellow, Ashoka Changemaker, and pan-African business strategist with over 25 years of cross-border African business experience.

3. Eligibility
To use BWB Learn and our services, you must:

  • Be at least 18 years of age, or have the consent of a parent or legal guardian if aged 13 to 17
  • Have the legal capacity to enter into a binding contract in your jurisdiction
  • Not be prohibited from using our services under the laws of your country of residence
  • Provide accurate, complete, and current information when creating your account

By using our platforms, you represent and warrant that you meet all of these eligibility requirements. BWB reserves the right to refuse service to anyone for any reason at any time.

4. Account Registration and Security

4.1 Creating Your Account

To access BWB Learn courses, community features, and certificates, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information including your real name, a valid email address, phone number, and country
  • Keep your account information up to date at all times
  • Choose a strong, unique password and keep it confidential
  • Not share your login credentials with any other person
  • Notify us immediately at olutope@businesswithoutboundaries.org if you suspect any unauthorised access to your account

4.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. BWB will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials. You may not create multiple accounts for the same person, create accounts on behalf of others without their consent, or use another person’s account.

4.3 Account Suspension and Termination

BWB reserves the right to suspend or permanently terminate your account, without notice, if you:

  • Violate any provision of these Terms
  • Engage in fraudulent, abusive, or harmful behaviour on the platform
  • Attempt to circumvent our payment system, access controls, or security measures
  • Share course content, login credentials, or certificates with unauthorised persons
  • Engage in spamming, harassment, or disruptive behaviour in community forums

Upon termination, your access to all courses and content will be revoked. Any outstanding balances owed to BWB remain due and payable.

5. Courses, Programmes, and Content

5.1 Course Availability

BWB Learn offers courses and bundled programmes across three delivery formats:

  • Self-Paced Online — access all course content immediately upon enrolment at your own pace with no fixed schedule
  • Virtual Cohort Live — structured learning with fixed start dates, live group sessions with Lady Topsie, peer interaction, and scheduled content release
  • In-Person Intensive — face-to-face training at physical locations on scheduled dates

Course availability, pricing, dates, and format are subject to change. BWB will provide reasonable notice of any significant changes affecting enrolled students.

5.2 Course Access

Upon successful payment and enrolment confirmation, you will receive access to the course content as specified in the course description. For self-paced courses, access is granted immediately. For virtual cohort and in-person programmes, access follows the published schedule.

Unless otherwise stated, your access to self-paced course content on BWB Learn is ongoing — there is no expiry date on your access while your account remains active and in good standing.

5.3 Course Content Standards

All BWB Learn course content is created by or under the direct supervision of Olutope Olatilewa E. (Lady Topsie) and approved BWB instructors. Content is designed to reflect real-world African business contexts and the practical application of strategy across African markets. BWB does not guarantee specific business outcomes from completing any course or programme.

5.4 Instructor-Led Courses

BWB Learn operates an Instructor Marketplace where vetted independent instructors may offer courses. Instructors must apply, meet BWB’s quality standards, and be approved by BWB before publishing content. BWB earns a platform commission on instructor course sales. BWB is not responsible for the accuracy of instructor-created content but reserves the right to remove any content that does not meet our quality or ethical standards.

6. Payments, Pricing, and Refunds

6.1 Pricing

All course and bundle prices are displayed in United States Dollars (USD) and Nigerian Naira (NGN). The NGN price is calculated using a live exchange rate at the time of purchase. Final prices are confirmed at checkout. BWB reserves the right to change prices at any time. Price changes will not affect purchases already completed.

6.2 Payment Processing

Payments on BWB Learn are processed securely through Paystack, a PCI-DSS compliant payment gateway. BWB does not store your full card details on our servers. By making a payment, you also agree to Paystack’s terms of service and privacy policy.

You may pay using the following methods via Paystack: debit or credit cards (Visa, Mastercard, Verve), bank transfer, and USSD. Available payment methods may vary by country.

6.3 Course Bundles

When you purchase a bundle, you receive access to all courses included in that bundle at the time of purchase. Courses added to a bundle after your purchase may or may not be included in your access — BWB will communicate any significant changes to bundle contents.

6.4 Refund Policy

Given the digital and immediately accessible nature of our course content, our refund policy is as follows:

  • Self-Paced Courses and Bundles — no refunds once the course content has been accessed. If you encounter a technical error that prevents access, contact us within 48 hours of purchase at olutope@businesswithoutboundaries.org and we will investigate and resolve
  • Virtual Cohort Programmes — cancellations made more than 14 days before the cohort start date are eligible for a full refund or credit towards a future cohort. Cancellations within 14 days of the start date are not eligible for a refund but may be transferred to a future cohort date
  • In-Person Programmes — cancellations made more than 21 days before the programme date are eligible for a full refund. Cancellations within 21 days are not refundable. No-shows are not refundable
  • Technical Issues — if you experience a genuine technical failure on our platform that prevents you from accessing content you have paid for, and BWB is unable to resolve the issue within 7 business days, you are entitled to a full refund

To request a refund, contact olutope@businesswithoutboundaries.org with your name, email, order reference, and reason for the refund request. All refund decisions are at BWB’s discretion.

6.5 Free Access

Certain courses and community features on BWB Learn may be offered at no charge. Free access does not include any warranty of availability, completeness, or continuation. BWB may discontinue, modify, or restrict free access at any time without notice.

7. Certificates of Completion

7.1 Eligibility

To earn a certificate on BWB Learn, you must complete 100% of the required course content, including all lessons, modules, and any mandatory assessments. Certificates are issued under the BWB brand (BWB-YYYY-NNNNN) or the ACi brand (ACI-YYYY-NNNNN) depending on the programme.

7.2 Certificate Validity

BWB certificates are issued as digital PDF documents and are verifiable online at https://learn.businesswithoutboundaries.org/verify.php. Each certificate carries a unique certificate number and a QR code for instant verification. BWB certificates represent completion of our programmes and the competencies covered therein. They are not accredited qualifications under any national or international academic framework unless expressly stated otherwise.

7.3 Free Download Window

Your first download of each certificate is free for 6 months from your course enrolment date. After the 6-month free window, re-issuance of a certificate (for example, if you lose your downloaded copy) incurs a re-issuance fee of USD 10.00. Your certificate record remains permanently in our system regardless of this fee.

7.4 Alumni Certificates

BWB may issue retrospective certificates to alumni who completed programmes before the BWB Learn platform existed. These certificates are issued on a goodwill basis and are always free for the rightful recipient to claim via their unique claim link.

7.5 Certificate Misuse

You may use your BWB certificate for professional purposes, including sharing on LinkedIn, CV, or with employers. You must not alter, forge, sell, or misrepresent any BWB certificate. Any certificate found to have been fraudulently obtained, shared with non-earners, or misrepresented will be voided and the associated account suspended.

8. Intellectual Property Rights

8.1 BWB Content Ownership

All content on BWB’s platforms — including but not limited to course videos, audio recordings, written materials, workbooks, toolkits, assessments, quizzes, brand assets, logos, website design, software code, and databases — is the exclusive intellectual property of Business Without Boundaries or its licensed content creators. This content is protected by copyright, trademark, and other applicable intellectual property laws.

8.2 Limited Licence to Students

Upon enrolment and payment (where applicable), BWB grants you a limited, non-exclusive, non-transferable, non-sublicensable personal licence to access and use the course content solely for your own personal learning and professional development. This licence does not permit you to:

  • Download, copy, reproduce, or distribute course videos, materials, or workbooks beyond what is expressly permitted by the platform
  • Share your login credentials or grant access to your enrolled courses to any other person
  • Republish, re-sell, or create derivative works from BWB course content
  • Screen-record or otherwise capture course video content for any purpose
  • Use BWB course content for commercial purposes, including training others for payment, without express written permission from BWB

8.3 User-Generated Content

When you post content in BWB Learn community forums, submit assignments, or provide feedback, you grant BWB a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content for the purpose of operating and improving our platform. You retain ownership of your original content. You are responsible for ensuring your posts do not infringe any third-party intellectual property rights.

8.4 Instructor Content

Instructors on the BWB Learn Marketplace retain ownership of their course content but grant BWB a licence to host, display, and sell their courses through the platform for the duration of their instructor agreement. BWB’s standard revenue split is 70% to the instructor and 30% to BWB as platform commission, unless otherwise agreed in writing.

8.5 Trademark Notice

“Business Without Boundaries”, “BWB”, “BWB Learn”, “African ChangeMakers Initiative”, “ACi”, “Lady Topsie”, and associated logos are trademarks of Business Without Boundaries. You may not use these marks without express written permission.

9. Community Standards and Acceptable Use

9.1 Community Forums

BWB Learn includes community forums and discussion spaces for students to connect, collaborate, and learn from each other. These spaces are moderated by BWB. By participating, you agree to:

  • Communicate respectfully and professionally with all other members
  • Stay on topic and contribute content relevant to the subject matter of the community space
  • Not post spam, promotional content, or unsolicited advertising
  • Not share misleading, false, or defamatory information
  • Respect the privacy of other community members — do not share personal information about others without their consent
  • Not post content that is offensive, discriminatory, or harassing on any grounds including race, gender, religion, disability, nationality, or sexual orientation

9.2 Prohibited Activities

The following activities are strictly prohibited on all BWB platforms:

  • Attempting to gain unauthorised access to any part of our platforms, user accounts, or systems
  • Using automated tools, bots, scrapers, or scripts to access or extract content from our platforms
  • Engaging in any form of academic dishonesty, including misrepresenting your identity when completing assessments
  • Attempting to manipulate our gamification system, leaderboard, or certificate issuance process
  • Uploading or transmitting malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to our systems
  • Using our platforms to conduct or promote illegal activities
  • Engaging in any activity that could damage the reputation of BWB or its founders, instructors, or community members

9.3 Content Moderation

BWB reserves the right to remove any user-generated content that violates these Terms or our community standards, without notice or liability. Repeated violations will result in account suspension or permanent termination.

10. Affiliate Programe

BWB Learn operates an affiliate programme that allows registered affiliates to earn commissions by referring new students to the platform.

  • Affiliates earn a commission on qualifying purchases made by users who click their unique affiliate link and complete a purchase within 30 days (the cookie window)
  • Commission rates are set by BWB and displayed in the affiliate dashboard at time of registration
  • Self-referral (using your own affiliate link to purchase for yourself) is strictly prohibited and will result in commission forfeiture and potential account suspension
  • Affiliate payouts are processed on the 15th of each month for commissions earned in the previous month, subject to a minimum payout threshold of USD 100
  • BWB reserves the right to modify commission rates, cookie windows, or payout terms with 30 days’ notice to active affiliates
  • Affiliates must not engage in misleading advertising, spam, or any promotional activity that violates applicable advertising laws or these Terms

11. Coaching and Mentoring Services

BWB offers Business Coaching and Executive Coaching services, and ACi offers Mentoring Programs. The following terms apply to these services:

  • Coaching sessions are delivered via video call (virtual) or in person as agreed at time of booking
  • Session recordings, where made, are strictly confidential and may not be shared without the written consent of all participants
  • Coaching engagements are personal to the individual client and may not be transferred or shared with a third party
  • BWB coaching and advisory services are provided in good faith based on the information you share. BWB and Lady Topsie are not liable for business decisions you make based on coaching or advisory discussions
  • Cancellations must be made at least 48 hours before a scheduled session to avoid forfeiture of that session fee

12. Disclaimers and Limitation of Liability

12.1 No Guarantee of Results

BWB courses, coaching, and advisory services are educational and informational in nature. While we are committed to delivering the highest quality content and guidance based on Lady Topsie’s 25+ years of experience, we make no guarantee of specific business outcomes, revenue growth, market entry success, or career advancement as a result of completing any BWB programm.

12.2 Platform Availability

We strive to maintain BWB Learn’s availability 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access. The platform may be unavailable for scheduled maintenance, emergency repairs, or reasons beyond our control. We will provide advance notice of planned maintenance where possible.

12.3 Third-Party Content and Links

Our platforms may reference or link to third-party resources, tools, publications, or websites. BWB does not endorse and is not responsible for the accuracy, quality, or legality of any third-party content. Links to external sites are provided for informational purposes only.

12.4 Limitation of Liability

To the maximum extent permitted by applicable law, BWB, its founders, directors, employees, instructors, and affiliates shall not be liable for any:

  • Indirect, incidental, special, or consequential damages arising from your use of our platforms
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your reliance on course content, coaching advice, or community posts
  • Technical failures, data breaches, or service interruptions beyond our reasonable control

Our total cumulative liability to you for any claims arising from your use of our services shall not exceed the total amount you paid to BWB in the 12 months preceding the claim.

12.5 Indemnification

You agree to indemnify, defend, and hold harmless BWB, its founders, directors, employees, instructors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your violation of these Terms, your use of our platforms, or your infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

In the event of any dispute, controversy, or claim arising from or relating to these Terms or your use of BWB’s platforms, the parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to mediation in Lagos, Nigeria, before either party initiates formal legal proceedings.

For users based in the European Economic Area, nothing in these Terms affects your rights under applicable EU consumer protection law.

14. Changes to These Terms

BWB reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this document
  • Post the updated Terms on this page
  • Send an email notification to all registered BWB Learn users for significant changes
  • Display a notice on the BWB Learn platform dashboard

Your continued use of our platforms after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using our platforms and contact us to close your account.

15. General Provisions

  • Entire Agreement — these Terms, together with our Privacy Policy and any applicable programme-specific terms, constitute the entire agreement between you and BWB regarding your use of our platforms and supersede all prior agreements
  • Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • No Waiver — BWB’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right
  • Assignment — you may not transfer or assign your rights under these Terms to any third party. BWB may assign these Terms as part of a merger, acquisition, or business transfer
  • Language — these Terms are drafted in British English. In the event of any conflict between a translated version and the English original, the English original shall prevail
